Terms of Use

NorthPrep is an independent study and practice platform. It is not affiliated with, authorized by, endorsed by, sponsored by, or connected to Paragon Testing Enterprises, the University of British Columbia, or any official CELPIP test provider, immigration authority, or government body.

“CELPIP” and all related names, marks, and logos are the property of their respective owners and are used on this Service for nominative, descriptive purposes only — namely, to identify the publicly known exam format that users are preparing for. No claim of ownership over those marks is made or implied. All practice questions, passages, audio, and materials on the Service are original works created by or for NorthPrep and are not reproductions of any official CELPIP test materials.

You must be at least the age of majority in your jurisdiction, or at least 13 years old and using the Service with the consent and supervision of a parent or legal guardian, and you must have the legal capacity to enter into these Terms. You are responsible for ensuring that your use of the Service is lawful in your location.

The Service is an educational practice tool. All scores, estimated levels, band predictions, explanations, grammar checks, speaking and writing feedback, study tips, and similar outputs are practice estimates only. They are not official CELPIP results and are not generated, reviewed, or validated by any official testing body.

NorthPrep makes no representation, warranty, or guarantee of any kind that using the Service will produce any particular outcome, including any exam score, immigration decision, visa, residency, citizenship, employment, academic admission, or other result. You use the Service and rely on its output entirely at your own risk and should not make immigration, financial, legal, employment, or other important decisions based solely on it.

Parts of the Service use automated and artificial-intelligence systems to generate audio, feedback, and explanations. Automated output may contain errors, omissions, or inaccuracies and may not reflect actual exam scoring. It is provided for general practice and self-study only and does not constitute professional, educational, legal, or immigration advice.

You are responsible for all activity that occurs under your account and for keeping your login credentials confidential. You agree to provide accurate information, to keep it up to date, and to notify us promptly of any unauthorized use. We may suspend or terminate accounts that violate these Terms or that we reasonably believe are being misused.

You agree that you will not, and will not attempt to:

• copy, scrape, harvest, mirror, resell, sublicense, or redistribute any part of the Service or its content;
• share, resell, or transfer your account or access to others;
• reverse engineer, decompile, or attempt to extract source code, question banks, or answer keys;
• bypass, disable, or interfere with security, access controls, rate limits, or payment systems;
• upload or transmit unlawful, infringing, harmful, abusive, defamatory, or malicious content or code;
• use automated means (bots, crawlers) to access the Service except as expressly permitted; or
• use the Service in any way that violates any applicable law or the rights of others.

Some features require payment (“Pro” or similar paid access). Prices and the features included are shown before you complete a purchase. Payments are processed by a third-party payment processor; we do not store full payment card details. By purchasing, you authorize the applicable charge in the currency shown (taxes may apply).

Except where a refund is required by applicable consumer-protection law, all purchases are final and non-refundable, including for unused access. Paid access grants a limited, personal, non-transferable right to use the paid features and may be changed, suspended, or discontinued if the Service changes, closes, or must be modified for security, legal, or operational reasons. We may change prices at any time on a going-forward basis.

All content on the Service — including practice questions, passages, audio, transcripts, explanations, feedback templates, text, graphics, design, software, and the NorthPrep name and branding — is owned by NorthPrep or its licensors and is protected by copyright, trademark, and other intellectual-property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Service and its content solely for your own individual, non-commercial study. Any other use — including reproduction, distribution, public display, or creation of derivative works — is prohibited without our prior written permission. If you believe content on the Service infringes your copyright, contact us at support@northprep.ca with details, and we will respond to valid notices.

You retain ownership of the responses, recordings, and messages you submit. You grant NorthPrep a worldwide, royalty-free licence to process and store that content as needed to operate the Service (for example, to grade attempts, generate feedback, and save your history). If you send us suggestions or feedback, you grant us the right to use them without restriction or compensation.

The Service relies on third-party providers (for example, hosting, authentication, database, payment processing, and automated speech and language services). Your use of the Service may be subject to those providers’ terms, and we are not responsible for their acts, omissions, or availability. Links to third-party sites are provided for convenience and are not endorsements.

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any content, score, or feedback is accurate, complete, or reliable. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NORTHPREP, ITS OWNERS, OPERATORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OPPORTUNITY, OR FOR ANY IMMIGRATION, EXAM, ACADEMIC, OR EMPLOYMENT OUTCOME, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) CAD $50. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless NorthPrep and its owners, operators, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, or your breach of these Terms or of any law or third-party right.

You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, if you violate these Terms or if we discontinue the Service. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

We may modify the Service or these Terms at any time. If we make material changes, we will update the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. You agree that the courts located in Alberta, Canada will have exclusive jurisdiction, except where applicable consumer-protection law gives you the right to bring a claim in your local jurisdiction. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
